(hereinafter, the “Seller” or “Elite”)

These General Terms and Conditions of Sale regulate the sale of products and/or digital content carried out via the website www.elite-it.com to users qualifying as consumers under Article 3 of the Consumer Code (Legislative Decree 206/2005).
A consumer is a natural person acting for purposes unrelated to entrepreneurial, commercial, artisanal, or professional activities.

These Terms apply exclusively to territories reached by the shipping services available on the Site and may be amended at any time. Amendments are effective from the date of publication on the Site and do not apply to orders already placed.

The applicable Terms are those in force at the time the order is submitted.

These Terms do not govern the sale of products or services by subjects other than Elite S.r.l. Società Benefit that may appear on the Site via links, banners, or other hyperlinks. Before conducting commercial transactions with such entities, users must review their terms of sale.
Elite performs no checks or monitoring on such sites and is therefore not responsible for their content nor for any errors, omissions, or legal violations committed by them.

By accepting these Terms, you declare that you are of legal age in your country of residence.

To use the Services—including accessing or browsing our online store or purchasing any products or services—you may be required to provide certain information such as your email address, billing details, payment and shipping information. You represent and warrant that all information you provide is accurate, current, and complete, and that you have the rights to provide it. You further represent that your purchases are for personal or household use and not for commercial resale or export.

You are solely responsible for maintaining the security of your login credentials and for all activity occurring under your account. You may not transfer, sell, assign, or license your account to anyone else.

Access to and use of the Services is permitted solely for lawful purposes.

We make every effort to provide an accurate representation of our products and services on our online store. However, colors and appearance may vary depending on your device and its display settings; therefore, product images are for illustrative purposes only.

We cannot guarantee that the appearance or quality of products or services purchased will match those displayed on the Site with absolute precision.

All product descriptions may be modified without notice at our discretion. We reserve the right to discontinue any product at any time and to limit quantities.

The Seller guarantees that products sold comply with applicable technical and safety regulations in the European Union at the time they are placed on the market.

For sales or shipments outside the EU, the Buyer must ensure that the import and use of products comply with local regulations.

Where expressly indicated, certain products may comply with additional non-EU standards.

When you place an order, you are making a purchase offer. Elite reserves the right to accept or refuse the order for any reason at its discretion. Your order is not accepted until Elite confirms acceptance. The contract is deemed concluded when the order is successfully registered and payment is completed.

Please review your order carefully before submitting it, as Elite may not be able to accept cancellation requests after order acceptance. If an order is not accepted, is partially modified, or is cancelled, you will receive notice at the email address provided.

Your purchases are subject to return only in accordance with the right of withdrawal as specified at the following link (an integral part of these Terms)

To make a purchase, the user must fill out the electronic order form by following the instructions on the Site.

Before submitting the order, users may identify and correct any data entry errors.

Once the contract is concluded, the user receives a confirmation email containing:

• order summary
• total price
• shipping costs
• applicable taxes
• Seller details

Orders are stored by the Seller for the time necessary for fulfillment and in accordance with legal requirements.

All prices are expressed in Euros (€). Unless otherwise indicated, prices on the Site include VAT. Applicable VAT will be calculated according to regulations and the destination country.

Prices, discounts, and promotions may change without notice. The price charged is the price in effect at the time of the order and appears in the order confirmation email. Unless stated otherwise, published prices do not include taxes, shipping, handling fees, customs duties, or import charges.

Shipping fees and any additional costs are shown separately before order confirmation.

For shipments outside the EU, customs duties, local taxes, and import fees are borne by the consumer.

Prices may differ from those offered in physical stores or online stores run by third parties. Promotions may apply and are governed by terms that prevail over these Terms in case of conflict.

By purchasing on our Site, you agree to provide accurate and updated payment, billing, and account information. You agree to update your account details as necessary.

You represent and warrant that:
(i) credit card details provided are true, accurate, and complete;
(ii) you are authorized to use the card;
(iii) card charges will be honored by the issuing institution;
(iv) you will pay all charges including shipping, handling, and taxes.

Payments can be made via:

• credit/debit card (Visa, Mastercaard, American Express, UnionPay)
• Shop Pay
• Google Pay
• Klarna

The Seller reserves the right to perform anti-fraud checks and request additional documentation. If payment is missing or documentation is not provided, the order will not be processed and the contract will be terminated per Article 1456 of the Italian Civil Code.

Delivery occurs within 15 days from order confirmation, unless due to force majeure. Free shipping may apply for orders above €49. Delivery is completed when products are made available to the consumer. If the recipient is absent, storage and redelivery fees may apply.

For consumers residing outside the EU:

• the Seller is not responsible for delays due to customs inspections;
• import restrictions are borne by the consumer;
• the consumer is the official importer in the destination country.

Right of withdrawal and legal warranties may be limited according to applicable local regulations.

Consumers may withdraw from the contract within 14 calendar days of receiving the goods, with no obligation to provide reasons.

Withdrawal may be exercised by written communication via:

• email (shop@elite-it.com)
• PEC
• the link provided in the order confirmation email
• the “Request Return” section of your user account

The products are covered by a twoyear legal guarantee of conformity from the date of delivery, pursuant to Articles 128–135 of the Consumer Code. Any defect must be reported within two months from the date on which it is discovered.

In accordance with Italian and European legislation, you are entitled to:

• repair or replacement of the product,
• a price reduction, or
• termination of the contract.

The legal guarantee does not cover faults, malfunctions, or defects caused by accidental events or by the user’s responsibility, nor those deriving from improper use of the product, including use not compliant with its intended purpose and/or with the technical documentation or instructions for use, where such documentation exists.

Unless proven otherwise, any lack of conformity that becomes apparent within one year from delivery is presumed to have already existed at the time of delivery, unless such a presumption is incompatible with the nature of the product or the defect itself.
Starting from the thirteenth month after delivery, it is the consumer’s responsibility to prove that the defect already existed at the time of delivery.

To benefit from the Legal Guarantee, proof of both the purchase date and delivery date of the product must be provided. For this reason, it is advisable to keep the purchase invoice or any other document showing the purchase date (for example, a credit card statement) and the delivery date.

The lack of conformity must be reported to the Seller at the contact details provided in section 19 of these Terms of Sale. The Seller will promptly acknowledge the reported defect and will inform you of the specific procedure to follow, including agreeing on the shipping arrangements for the product, taking into account the product category and/or the nature of the reported defect.

The Seller, within the limits permitted by law, shall not be liable for indirect damages, loss of data, or loss of profit. In any case, the Seller’s liability shall not exceed the amount paid by the consumer. The Seller shall not be held responsible for delays or failures resulting from unforeseeable events or events beyond its control (socalled force majeure or fortuitous events). By way of example, force majeure refers to any external, unforeseeable, and unavoidable event, including fires, floods, interruptions in the supply of energy, raw materials, or spare parts, full or partial strikes of any kind that prevent the normal operation of the company—such as transport strikes or postal service strikes—supply shortages, epidemics, pandemics, and similar events.

Our Services—including but not limited to all trademarks, trade names, texts, displays, images, graphics, product reviews, videos, and audio, as well as their design, selection, and arrangement—are the property of Elite, its affiliates, or its licensors, and are protected by patent laws, copyright laws, and other intellectual property regulations.

These Terms allow you to use the Services solely for your personal and noncommercial use. You must not reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms of Sale grants you—or should be interpreted as granting you—any license or other rights under any patent, trademark, copyright, or other intellectual property of Elite, Shopify, or third parties. Unauthorized use of the Services may constitute a violation of intellectual property laws. All rights not expressly granted herein are reserved by Elite.

The names, logos, product and service names, designs, and slogans of Elite are trademarks of Elite or its affiliates or licensors. You must not use such trademarks without Elite’s prior written permission. The name, logo, product and service names, designs, and slogans of Shopify are trademarks of Shopify.

Elite uses the Shopify platform for the provision of its Services. However, any sales and purchases made in our Store are concluded directly with Elite. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the transactions between you and Elite, including any damages, losses, or injuries arising from the products or services purchased.

By accepting these Terms, you expressly release and hold harmless Shopify and its affiliates from any claim, damage, or liability arising from or connected to your purchases and the transactions concluded with Elite.

All personal data collected through the Services is processed in accordance with our Privacy Policy, available at the following link, and certain personal information may also be subject to Shopify’s Privacy Policy, which is likewise available online. By using the Services, you declare that you have read and understood these policies. Since the Services are hosted by Shopify, Shopify collects and processes personal data relating to your access to and use of the Services for the purpose of providing and improving them. For more details on how Shopify uses your personal data, please refer to its Privacy Policy.

The information contained in our online store may occasionally include typographical errors, inaccuracies, or omissions, including with regard to product descriptions, prices, promotions, shipping charges, delivery times, and availability. We reserve the right to correct such errors or inaccuracies, update the information, or cancel orders at any time even after an order has been submitted without any obligation to provide prior notice.

The contract is governed by Italian law. For consumers residing in Italy, the competent court is the court of the consumer’s place of residence or domicile.

The application of any provisions that may be more favorable and mandatory under the law of the country in which consumers who do not have their habitual residence in Italy are habitually resident is preserved, particularly with regard to the time period for exercising the right of withdrawal, the time period for returning products in the event that such right is exercised, the procedures and formal requirements for communicating the withdrawal, and the legal guarantee of conformity.
